Agreement to Terms

By accessing and using the services provided by Apex Vector AI ("we," "our," or "us"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Definitions

  • "Service" refers to AI automation solutions, consultations, and related services provided by Apex Vector AI
  • "Client" refers to any individual or entity that engages our services
  • "Agreement" refers to these Terms of Service and any additional service agreements
  • "Intellectual Property" includes all proprietary AI models, algorithms, and custom solutions

Service Description & Scope

AI Automation Services

  • Process automation and workflow optimization
  • AI chatbot and virtual assistant development
  • Data analytics and business intelligence solutions
  • Custom AI integrations and implementations
  • Consultation and strategic planning services

Service Limitations

Our services are provided on an "as is" basis. While we strive for excellence, we cannot guarantee:

  • 100% uptime or availability of AI systems
  • Specific performance metrics unless explicitly agreed in writing
  • Compatibility with all third-party systems or future updates
  • Results that may be affected by external factors beyond our control

Client Responsibilities

  • Provide accurate and complete information necessary for service delivery
  • Ensure compliance with applicable laws and regulations in their jurisdiction
  • Maintain appropriate security measures for their systems and data
  • Provide timely feedback and approvals as required for project completion

Payment Terms & Conditions

Payment Structure

  • Consultation fees are due upon completion of consultation sessions
  • Project-based work typically requires 50% deposit before commencement
  • Monthly retainer services are billed in advance
  • Additional work outside agreed scope will be quoted separately

Payment Terms

  • Invoices are payable within 30 days of issue date
  • Late payments may incur interest charges of 1.5% per month
  • Services may be suspended for accounts over 60 days past due
  • All prices are exclusive of VAT where applicable

Refund Policy

Refunds are considered on a case-by-case basis:

  • Consultation fees are non-refundable once the session has commenced
  • Project deposits may be partially refundable if work has not begun
  • Monthly retainer fees are non-refundable but services can be cancelled with 30 days notice
  • Refund requests must be submitted in writing within 14 days of the disputed charge

Intellectual Property Rights

Our Intellectual Property

Apex Vector AI retains all rights to:

  • Proprietary AI algorithms, models, and methodologies
  • Software frameworks and development tools
  • Training materials, documentation, and processes
  • Brand names, trademarks, and service marks

Client Intellectual Property

We respect and protect client intellectual property:

  • Client data and business information remain the property of the client
  • Custom solutions developed specifically for clients become client property upon full payment
  • We may retain the right to use general methodologies and non-proprietary techniques
  • Confidentiality agreements protect sensitive client information

Open Source Components

Our solutions may incorporate open source software components, which are governed by their respective licenses. We ensure compliance with all applicable open source licenses and will provide attribution as required.

Liability & Warranties

Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability shall not exceed the amount paid for services in the 12 months preceding the claim
  • We are not liable for indirect, consequential, or punitive damages
  • We are not responsible for losses due to third-party actions or system failures
  • Clients are responsible for maintaining appropriate insurance coverage

Warranties

We warrant that:

  • Services will be performed with reasonable skill and care
  • We have the right and authority to provide the agreed services
  • Our work will not infringe upon third-party intellectual property rights
  • We will comply with applicable professional standards and regulations

Disclaimer

Except as expressly stated, all services are provided "as is" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Termination & Governing Law

Termination Rights

  • Either party may terminate ongoing services with 30 days written notice
  • We may terminate immediately for non-payment or breach of terms
  • Clients may terminate for convenience subject to payment of work completed
  • Upon termination, we will provide reasonable assistance with data transfer

Governing Law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the English courts. We will attempt to resolve disputes through good faith negotiation before pursuing legal remedies.

Changes to Terms

We reserve the right to modify these terms at any time. Material changes will be communicated to clients with 30 days notice. Continued use of our services after changes constitutes acceptance of the new terms.
